We are partnering with a well-established company based in Limassol, and are currently seeking a Corporate Legal Counsel to join their team.

The successful candidate will work closely with senior leadership, offering trusted legal advice while helping ensure that business activities remain compliant with applicable laws and regulatory requirements.

The role requires strong legal expertise, a practical and balanced approach to risk, and the ability to perform effectively within a fast-paced and evolving business environment.

• Provide legal support to different entities within the organisation, with particular focus on corporate governance, corporate structuring, and strategic corporate matters.

• Advise on corporate governance matters, including supporting Boards of Directors and Board Committees, preparing board and shareholder documentation, maintaining corporate records, and ensuring compliance with applicable governance frameworks, statutory obligations, and regulatory requirements.

• Oversee corporate housekeeping activities, including maintaining statutory registers, minute books, and corporate records, while ensuring that corporate actions, filings, and ongoing compliance obligations are completed within the required timelines across multiple jurisdictions.

• Liaise with corporate service providers, company registries, and regulatory authorities, including the Cyprus Registrar of Companies, regarding incorporations, restructurings, corporate amendments, statutory filings, certifications, and other corporate administration matters.

• Draft, review, and manage a broad range of corporate documentation, including board and shareholder resolutions, powers of attorney, constitutional documents, intercompany agreements, financing documentation, loan agreements, share issuances and transfers, capital reorganisations, and other corporate records.

• Support the establishment, ongoing administration, restructuring, and management of entities across different jurisdictions, ensuring compliance with relevant corporate, regulatory, and governance requirements.

• Plan, coordinate, and support legal due diligence processes in connection with mergers and acquisitions, investments, financing transactions, regulatory applications, and other strategic corporate initiatives.

• Assist with corporate transactions and strategic projects, including mergers and acquisitions, restructurings, reorganisations, joint ventures, capital raising activities, and other cross-border corporate matters.

• Provide day-to-day legal advice to relevant stakeholders on corporate, governance, financing, intellectual property, and general business matters, including partnerships, international ventures, and corporate finance transactions.

• Coordinate and manage relationships with external legal advisers on jurisdiction-specific matters, corporate transactions, regulatory issues, governance matters, and legal risk management.

• Assist with the development, implementation, and continuous improvement of corporate governance frameworks, policies, procedures, and internal controls.

• Support M&A activities and wider strategic projects in collaboration with senior management and other key stakeholders.

FULL TIMELIMASSOLHYBRID

• Qualified lawyer admitted to the Bar in their country of origin.
• At least 3 years of post-qualification professional experience.
• Previous experience within a regulated industry will be viewed favourably.
• Strong knowledge and understanding of corporate law, including procedures related to the Registrar of Companies.
• Excellent command of the English language, both written and spoken.
• High level of attention to detail, combined with strong organisational abilities.
